2. Working Together
Our services work best when we operate as an extension of the Client’s business.
The Client agrees to provide us with sufficient information to understand its business, products, services, customers, market and brand positioning.
The Client is responsible for ensuring that information supplied to us is accurate, lawful and not misleading.
We are entitled to rely upon information provided by the Client when producing scripts, social media content, marketing material or communications.
We cannot be held responsible for inaccuracies arising directly from incorrect, outdated or incomplete information supplied to us by the Client.
3. LinkedIn Account Access and Authority
Where the Client purchases LinkedIn Management Services, the Client authorises The Sales FX to undertake the agreed LinkedIn activity on its behalf.
The Client may be required to provide appropriate administrator access to its LinkedIn company page.
Wherever possible, access should be provided using LinkedIn’s authorised administrator or account management functions rather than by sharing personal passwords.
The Client remains the owner and controller of its LinkedIn company page and associated accounts.
The Sales FX will only use account access for the purpose of providing the agreed service.
The Client authorises us, within the agreed scope of work, to publish content and to interact with third parties using the Client’s company page.
This may include posting, commenting, reacting to posts, following pages and participating in relevant business conversations.
4. LinkedIn Content
We will produce LinkedIn content based upon our understanding of the Client, its market, its objectives and the information made available to us.
Content may include written posts, graphics, photographs, supplied images, statistics, commentary and other marketing material.
Unless a separate approval process has been agreed, the Client authorises The Sales FX to publish content that we reasonably believe is consistent with the Client’s business, brand and agreed LinkedIn strategy.
Where the Client requests a formal approval process, publication may be dependent upon receiving that approval.
Delays in approval may result in scheduled content being postponed.
The Client should notify us promptly if any information relating to its products, services, personnel, pricing, accreditations, certifications or other business information changes.
5. Content Amendments
We want the Client to be comfortable with the way its business is represented.
Reasonable amendments to content forming part of the agreed service are included.
However, substantial additional work, repeated changes of direction or work outside the agreed scope may be chargeable.
We will notify the Client before undertaking significant additional chargeable work wherever reasonably possible.
6. Intellectual Property
Unless otherwise agreed, once all invoices relating to the relevant work have been paid, the Client may continue to use original content specifically created by The Sales FX for that Client.
This includes agreed social media copy and graphics created specifically for the Client.
The Sales FX retains ownership of its underlying methodologies, strategies, systems, templates, processes, know-how and other intellectual property used in providing the service.
Third-party materials remain subject to the intellectual property rights and licensing conditions of their respective owners.
7. Client-Supplied Material
The Client may provide photographs, logos, trademarks, product information, testimonials, videos or other materials for us to use.
By supplying these materials, the Client confirms that it owns them or has appropriate permission to use them.
The Client authorises The Sales FX to use those materials for the purpose of delivering the agreed services.
The Client is responsible for any claim arising because materials supplied by the Client infringe another person’s intellectual property, privacy or other legal rights.
8. Third-Party Platforms and LinkedIn
LinkedIn is an independent third-party platform and is not owned or controlled by The Sales FX.
LinkedIn may change its algorithms, functionality, reach, account permissions, posting rules, engagement rules, technical systems, terms and conditions or availability at any time.
The Sales FX cannot guarantee that particular functionality, reach or account access will remain available.
We will not be liable for a reduction in performance or interruption to our service caused by LinkedIn, internet providers, software providers or other third-party platforms outside our reasonable control.
9. LinkedIn Account Restrictions
We undertake LinkedIn management in good faith and aim to operate within normal professional use of the platform.
However, LinkedIn controls its own platform and account enforcement.
The Sales FX cannot guarantee that a LinkedIn account or company page will never be restricted, suspended, limited or otherwise affected by LinkedIn.
We are not responsible for restrictions caused by the Client’s existing account activity, previous activity, other account administrators, third-party software, automation tools or actions outside our control.
10. No Bots or Artificial Engagement
Unless expressly agreed otherwise, The Sales FX does not use automated bots to impersonate genuine human engagement on a Client’s LinkedIn company page.
Our service is based around genuine content, networking and engagement.
The nature and volume of activity may vary according to the Client’s market, available opportunities and changes to LinkedIn’s platform.
11. Comments and Third-Party Content
LinkedIn is a public social network.
Other users may comment upon, react to or share Client content.
The Sales FX cannot control statements, opinions, comments or other content published by third parties.
Where we believe a comment requires the Client’s direct involvement, particularly complaints, technical questions, legal issues or commercially sensitive enquiries, we may refer the matter to the Client rather than respond ourselves.
The Client remains ultimately responsible for decisions concerning formal customer complaints, contractual disputes and legally sensitive communications.
12. Outbound Sales Campaigns
Where we provide outbound calling or sales development services, we will represent the Client professionally and in accordance with the agreed campaign brief.
The Client agrees to provide accurate information regarding its products, services, pricing, capabilities and any claims that our team may communicate to prospects.
The Sales FX may adapt scripts and conversational approaches during a campaign where we reasonably believe this will improve the quality or effectiveness of conversations.
Sales conversations are human interactions and cannot be completely scripted or predicted.
13. Leads, Meetings and Opportunities
Where our service includes lead generation or appointment setting, we aim to identify genuine opportunities based upon the criteria agreed with the Client.
A booked meeting, expression of interest, request for information or other opportunity does not constitute a guarantee that a sale will take place.
The Client remains responsible for:
Attending meetings
Following up opportunities
Providing quotations
Negotiating contracts
Closing sales
Delivering its products or services
Once an opportunity has been transferred to the Client, subsequent commercial management of that opportunity is normally the responsibility of the Client unless otherwise agreed.
14. No Guarantee of Results
Sales and marketing results are affected by many factors outside our control.
These include market demand, pricing, competition, proposition, timing, product quality, Client follow-up and wider economic conditions.
Accordingly, The Sales FX does not guarantee any particular:
Number of sales
Level of revenue
Number of enquiries
Number of appointments
Conversion rate
Number of LinkedIn followers
Number of impressions
Level of LinkedIn reach
Engagement rate
Website traffic
Search ranking
Commercial outcome
unless a particular deliverable has been expressly guaranteed by us in writing.
Statistics, projections, examples and previous results should not be interpreted as guarantees of future performance.
15. LinkedIn Growth Takes Time
LinkedIn management is an ongoing marketing and relationship-building activity.
While improvements in reach, engagement or visibility can sometimes occur quickly, meaningful commercial results may require sustained activity over a period of time.
The Client acknowledges that LinkedIn Management is not paid advertising and that a particular commercial return cannot be guaranteed within a specific period.
16. Client Cooperation
The Client agrees to provide information, access and reasonable assistance required for us to perform our services.
Where our work is delayed because we are waiting for Client information, approvals, account access or other material, this does not automatically pause or reduce the Client’s service fee.
We reserve the right to adjust delivery schedules where Client delays make the original schedule impractical.
17. Fees and Payment
Fees will be those stated in the Client’s proposal, order confirmation, invoice or other written agreement.
Unless stated otherwise, all quoted prices exclude VAT, which will be added at the prevailing rate where applicable.
Invoices are payable according to the payment terms shown on the invoice or agreed service documentation.
Recurring services may be invoiced monthly in advance.
The Client is responsible for ensuring payments are made when due.
18. Late Payment
Where payment becomes overdue, we reserve the right to suspend work until the account is brought up to date.
Suspension of the service because of non-payment does not necessarily cancel amounts already due.
We also reserve any statutory rights available to us in relation to late payment of commercial debts.
19. Minimum Terms, Renewal and Cancellation
LinkedIn Management Services
LinkedIn Management Services are provided on an initial minimum 12-month contract term, unless otherwise expressly agreed in writing.
The 12-month minimum term begins on the agreed service commencement date.
During the initial 12-month term, the Client remains responsible for all fees due for that minimum contractual period.
At the end of the initial 12-month term, the service will automatically continue on a rolling monthly basis unless either party gives notice to terminate the service in accordance with the agreed notice period.
Unless otherwise stated in the Client’s proposal or service agreement, cancellation after the initial 12-month term must be made in writing.
Any fees falling due during an applicable notice period remain payable.
Cancellation does not affect any fees, charges or other amounts already due.
Other Services
Minimum terms, renewal arrangements and cancellation provisions for Outbound Sales Services or any other service supplied by The Sales FX will be those stated in the Client’s proposal, order confirmation or service agreement.
Where a recurring service continues beyond any agreed initial period, it will continue until cancelled in accordance with the applicable notice arrangements.
Cancellation should be made in writing.
Work undertaken and costs incurred before the effective cancellation date remain chargeable.
20. Pausing a Service
A Client cannot automatically suspend or pause a recurring service in place of cancellation.
Any request to pause a service must be agreed by The Sales FX in writing.
Where a pause is agreed, we may also agree revised restart dates, fees or service arrangements.
21. Confidentiality
Both parties agree to treat confidential business information received from the other party appropriately.
We may receive confidential information relating to the Client’s customers, prospects, pricing, sales strategy, marketing plans or other commercial matters.
We will use this information only where reasonably necessary to provide the agreed services.
This obligation does not apply to information that is already publicly available or which we are legally required to disclose.
22. Data Protection
Both parties agree to comply with applicable UK data protection legislation when processing personal data.
Where the Client provides prospect or customer data for an outbound campaign, the Client is responsible for ensuring that it has an appropriate lawful basis for holding and using that data.
The Sales FX will process data supplied by the Client for the purposes of delivering the agreed service.
Where appropriate, additional data processing terms may apply.
23. Compliance
The Client is responsible for ensuring that its products, services and business activities comply with any laws, regulations or industry requirements applicable to its business.
The Sales FX is not responsible for independently verifying every statement supplied to us by the Client.
We reserve the right to refuse to publish content or undertake activity which we reasonably believe may be unlawful, misleading, defamatory, discriminatory or otherwise inappropriate.
24. Reputation and Professional Judgment
When acting on behalf of a Client, we will use reasonable professional judgment and aim to represent the Client positively.
We reserve the right not to make a statement, publish content or undertake activity that we believe could damage the reputation of the Client, The Sales FX or another party, or expose either party to unnecessary legal risk.
25. Limitation of Liability
Nothing in these Terms & Conditions limits any liability which cannot legally be limited.
Subject to that, Bizolla Ltd trading as The Sales FX will not be liable for indirect or consequential losses, loss of profits, loss of revenue, loss of opportunity, loss of anticipated savings, loss of goodwill or loss arising from decisions made by the Client following our services.
Our total liability arising from a particular service or claim will, to the fullest extent permitted by law, be limited to the fees paid by the Client to Bizolla Ltd trading as The Sales FX for the relevant service during the three months immediately preceding the event giving rise to the claim.
26. Events Outside Our Control
We will not be responsible for delay or failure caused by events outside our reasonable control.
These may include internet or telecommunications failures, LinkedIn outages, software failures, illness, severe weather, industrial action, government restrictions or other circumstances which prevent normal delivery of the service.
Where reasonably possible, we will endeavour to resume normal service as soon as circumstances allow.
27. Subcontractors and Team Members
Bizolla Ltd trading as The Sales FX may use employees, contractors, designers, writers, sales professionals or other suitably experienced individuals to help provide the agreed services.
The Client’s agreement is with Bizolla Ltd trading as The Sales FX rather than with any individual team member unless expressly stated otherwise.
28. Non-Solicitation
During the provision of services and for a period of 12 months afterwards, the Client agrees not to knowingly employ or directly engage an employee or regular contractor of The Sales FX who has been materially involved in delivering services to the Client, without our prior written agreement.
Where this clause is breached, Bizolla Ltd reserves the right to seek reasonable compensation reflecting the recruitment and business costs arising from that engagement.
29. Portfolio and Marketing Use
Unless the Client asks us not to, we may identify the Client as a customer of The Sales FX and display its name or logo within reasonable business marketing material.
We will not disclose confidential campaign information, commercially sensitive information or private performance data without permission.
Specific Client work or case studies will only be presented in a way we reasonably consider appropriate and professional.
The Client can withdraw permission for future promotional use of its name or logo by notifying us in writing.
30. Changes to the Service
From time to time we may recommend changes to the way a service is delivered because of market conditions, LinkedIn changes, technology developments or our experience of what is producing better results.
Any material change to the contracted scope or price will be agreed with the Client.
Minor operational changes that do not materially reduce the agreed service may be made as part of our normal management of the account.
31. Changes to These Terms
We may update these Terms & Conditions from time to time.
Where changes materially affect an existing ongoing service, we will take reasonable steps to inform affected Clients.
The latest version will be published on The Sales FX website.
32. Entire Agreement
These Terms & Conditions, together with any proposal, order confirmation, service agreement or written scope supplied to the Client, form the agreement between the Client and Bizolla Ltd trading as The Sales FX.
Where a specific written proposal or service agreement expressly conflicts with these general Terms & Conditions, the specific written agreement will take precedence in relation to that particular service.
33. Severability
If any part of these Terms & Conditions is found to be invalid or unenforceable, the remaining provisions will continue to apply.
34. Governing Law
These Terms & Conditions and any dispute or claim arising from them are governed by the laws of England and Wales.
The courts of England and Wales will have jurisdiction in relation to any dispute arising from these Terms & Conditions.
